VERISPECTTerms of Service

Terms of Service

Effective date: 21 October 2026 · Version 1.0

These terms are the agreement between you and Verispect for the use of the Verispect system and services. Please read them. When you tick "I agree" during registration, pay for a package or use the service, you accept them.

Sections marked in bold capitals limit our liability, place risk on you or require you to indemnify us. Where the Consumer Protection Act applies to you, these are drawn to your attention specifically.

1.Who we are

Verispect is operated by Verispect (Pty) Ltd, registration number 2025/525605/07, of 4B Tygerberg Road, Kraaifontein, Western Cape, 7570 ("Verispect", "we", "us"). You can reach us at verispectcrm@gmail.com.

2.Words we use

3.What Verispect is

  1. Verispect is a sales, admin and operations system for small and medium businesses: enquiries, pipeline, activities, quotes, invoices, money in and out, team dispatch and related tools.
  2. Verispect runs inside your own Google account. Your data is stored in your Google Drive and Google Sheets, and emails are sent from your own email account. Google's terms and security apply to that account, and you remain the account holder.
  3. We may set up, configure and maintain the system for you as part of your package. When we do, you give us the access we need for that purpose only.
  4. Verispect is a tool. It does not replace your accountant, tax practitioner, attorney or your own judgement. Figures, forecasts and documents it produces are based on what you enter.

4.Your account and users

  1. Each package allows a set number of users and devices. You may not share one login between several people to get around these limits.
  2. You are responsible for everything done under your account and your users' logins, including team links sent to staff. Keep passwords, Google account access and login links private, and switch on two-step verification on your Google account.
  3. Tell us immediately if you suspect someone has unauthorised access. You can remove a user or device at any time in Settings.
  4. The information you give us at registration must be true and kept up to date.

5.Packages, fees and payment

  1. Fees are charged monthly in advance for the package you choose, at the price shown on our website when you register. Verispect is not registered for VAT, so no VAT is added to our fees. If we register for VAT, we will give you at least 30 days' written notice before VAT is added.
  2. Payment is by card subscription or debit order through our payment providers (currently PayFast and Netcash). We never see or store your full card or bank account numbers.
  3. You may upgrade at any time. The new package applies from the next billing date unless we agree otherwise. Downgrades take effect from the next billing date, and you must first bring your users and devices within the new package's limits.
  4. We may change our prices on at least 30 days' written notice. If you do not accept the change, you may cancel before it takes effect.
  5. If a payment fails, we will let you know. If it remains unpaid 7 days after that notice, we may suspend access until it is paid. Your data is not deleted because of a suspension. Overdue amounts may carry interest at the rate allowed by law.
  6. Fees already paid are not refundable, except where the law requires a refund or we agree in writing.

6.Free trial

  1. Where we offer a free trial, its length is shown when you register. You may be asked for payment details at the start of the trial.
  2. Unless you cancel before the trial ends, your package starts automatically at the end of the trial and you will be billed from then on.
  3. We may change or end trial offers for new registrations at any time.

7.Cancellation

  1. You may cancel at any time on one calendar month's written notice by email or through your account. Billing stops at the end of that notice month.
  2. Where the Consumer Protection Act applies to you as a consumer, you may cancel a fixed-term agreement on 20 business days' notice, and we will treat any cancellation in line with that Act.
  3. When the agreement ends, your data stays in your own Google account. We will stop our access, and you can continue to use, export or delete your data as you choose. See section 8.6.

8.Your data and POPIA

  1. Your data belongs to you. We do not sell it, rent it out or use it to market to your customers.
  2. For the Protection of Personal Information Act, 2013 (POPIA), you are the responsible party for the personal information in your data. Where we process it for you (for example during setup or support), we act as your operator under sections 20 and 21 of POPIA.
  3. As your operator, we will:
    • process your data only to provide the service, or on your instructions, or where the law requires it;
    • keep it confidential, and make sure anyone working for us is bound to confidentiality;
    • maintain appropriate, reasonable technical and organisational security measures;
    • notify you without undue delay if we have reasonable grounds to believe your data has been accessed or acquired by an unauthorised person through our systems or access;
    • help you, within reason, to respond to requests from your data subjects and the Information Regulator.
  4. We may use anonymised, aggregated information about how the service is used (never identifying you or your customers) to improve Verispect.
  5. We use the personal information you give us about yourself and your users to run your account, bill you and support you, as set out in our privacy notice.
  6. On termination we will remove our access to your Google account and delete any copies of your data we hold, within 30 days, unless the law requires us to keep them.

9.Your responsibilities

You are responsible for:

  1. having a lawful basis, and where needed consent, for the personal information you collect and the messages you send, including direct marketing rules under section 69 of POPIA and the Consumer Protection Act;
  2. complying with WhatsApp, Meta, Google and email provider policies for the messages you send through Verispect;
  3. the accuracy and lawfulness of your quotes, invoices, VAT, pricing, terms of business and banking details;
  4. checking automated messages and documents before relying on them;
  5. keeping your own backups and exports of important data (Verispect lets you export your accounts and records); and
  6. the security of your devices, Google account, email account and WhatsApp number.

10.Acceptable use

You may not use Verispect to:

We may suspend access immediately if we reasonably believe the service is being misused.

11.Third-party services

Verispect works with services we do not own or control, including Google (Drive, Sheets, Gmail, Calendar, Maps), Meta (WhatsApp Cloud API), PayFast, Netcash and your email provider. Their own terms apply to your use of them.

WE ARE NOT RESPONSIBLE FOR THE AVAILABILITY, CHANGES, PRICING, SECURITY OR FAILURES OF THIRD-PARTY SERVICES, OR FOR ANY LOSS CAUSED BY THEM.

If a third party changes or withdraws something Verispect relies on, we will make reasonable efforts to find a workaround, but cannot guarantee one.

12.Availability

  1. We aim to keep Verispect available and working well, and to fix faults within a reasonable time.
  2. We may update, improve or change features. We will not materially reduce the core features of your package during a paid month without notice.
  3. THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE". TO THE EXTENT THE LAW ALLOWS, WE DO NOT GUARANTEE THAT IT WILL BE UNINTERRUPTED, ERROR-FREE OR SUITABLE FOR EVERY PURPOSE, OR THAT IT WILL PRODUCE ANY PARTICULAR BUSINESS RESULT.

13.Security and data incidents

  1. We take reasonable steps to protect the service and any access we have to your data, in line with POPIA section 19 and generally accepted practice.
  2. No system connected to the internet is completely secure. You acknowledge this risk.
  3. TO THE EXTENT THE LAW ALLOWS, WE ARE NOT LIABLE FOR ANY LOSS, CORRUPTION, DELETION, LEAK OR UNAUTHORISED ACCESS TO YOUR DATA THAT IS CAUSED BY: (A) YOU, YOUR USERS OR ANYONE USING YOUR LOGINS, LINKS, DEVICES OR ACCOUNTS; (B) A COMPROMISE OF YOUR GOOGLE, EMAIL OR WHATSAPP ACCOUNTS; (C) HACKERS, MALWARE, PHISHING OR OTHER CRIMINAL ACTS BY THIRD PARTIES, WHERE WE TOOK REASONABLE SECURITY MEASURES; (D) FAILURES OF THIRD-PARTY SERVICES; OR (E) EVENTS BEYOND OUR REASONABLE CONTROL, INCLUDING LOAD-SHEDDING, NETWORK OUTAGES AND NATURAL DISASTERS.
  4. If a security incident happens, each of us will cooperate with the other to contain it, and to meet any duty to notify the Information Regulator and affected people.

14.Limitation of liability

  1. TO THE EXTENT THE LAW ALLOWS, WE ARE NOT LIABLE FOR ANY INDIRECT, SPECIAL OR CONSEQUENTIAL LOSS, OR FOR LOSS OF PROFIT, REVENUE, BUSINESS, CONTRACTS, GOODWILL, DATA OR ANTICIPATED SAVINGS, HOWEVER IT ARISES, EVEN IF WE WERE TOLD IT WAS POSSIBLE.
  2. TO THE EXTENT THE LAW ALLOWS, OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM OR CONNECTED TO THESE TERMS OR THE SERVICE, WHETHER IN CONTRACT, DELICT OR OTHERWISE, IS LIMITED TO THE FEES YOU PAID US IN THE THREE MONTHS BEFORE THE EVENT THAT GAVE RISE TO THE CLAIM.
  3. Nothing in these terms limits or excludes liability that cannot lawfully be limited or excluded, including liability for gross negligence, fraud or wilful misconduct, or any right you have under the Consumer Protection Act that cannot be waived.

15.Your indemnity to us

YOU INDEMNIFY AND HOLD HARMLESS VERISPECT, ITS OWNERS, DIRECTORS, EMPLOYEES AND CONTRACTORS AGAINST ALL CLAIMS, DEMANDS, FINES, PENALTIES, LOSSES, DAMAGES AND COSTS (INCLUDING LEGAL COSTS ON THE ATTORNEY-AND-CLIENT SCALE) BROUGHT BY ANY THIRD PARTY, INCLUDING YOUR CUSTOMERS, SUPPLIERS, STAFF AND THE INFORMATION REGULATOR, ARISING FROM:

  1. your data, and how you collect, use, store or share it;
  2. messages, quotes, invoices or documents you or your users send through Verispect;
  3. your breach of these terms, POPIA, the Consumer Protection Act or any other law;
  4. any unauthorised access to your data resulting from your or your users' acts or omissions, or from a compromise of your accounts or devices; or
  5. the work, goods or services you provide to your own customers.

16.Intellectual property

  1. Verispect, its software, design, templates, workflows and branding belong to us or our licensors. We give you a non-exclusive, non-transferable right to use them for your own business while your package is active.
  2. You keep all rights in your data, logo, brand and terms of business. You give us permission to use them only to provide the service to you.
  3. If you give us ideas or feedback, we may use them freely to improve Verispect.

17.Suspension and termination

  1. We may suspend or end your access on written notice if you materially breach these terms and do not fix the breach within 7 days of being asked to, or immediately in cases of misuse, fraud or non-payment as described in section 5.
  2. We may stop offering Verispect altogether on at least 60 days' notice. We will refund any fees paid in advance for the period after the service ends.
  3. Sections 8, 13, 14, 15, 16 and 20, and any amounts you owe, survive termination.

18.Changes to these terms

We may update these terms from time to time. We will tell you of material changes by email at least 30 days before they apply. If you keep using Verispect after that date, the new terms apply. If you do not agree, you may cancel before then.

19.Notices and domicile

  1. We may send you notices by email to the address on your account, and you may send notices to us at verispectcrm@gmail.com. Under the Electronic Communications and Transactions Act, an email notice counts as written notice, and is treated as received when it reaches the recipient's mailbox.
  2. For legal process, we choose 4B Tygerberg Road, Kraaifontein, Western Cape, 7570 as our address, and you choose the physical address you gave at registration.

20.General

  1. These terms are governed by the law of the Republic of South Africa.
  2. Before going to court, each of us will try in good faith to resolve a dispute by discussion for at least 14 days. Either of us may still approach a court for urgent relief.
  3. You consent to the jurisdiction of the Magistrates' Court for any claim, even if the amount exceeds its ordinary limit, but we may choose to approach the High Court.
  4. These terms, with your registration details and chosen package, are the whole agreement between us. No other promise binds us unless it is in writing and agreed by both of us.
  5. If any clause is found invalid, the rest of these terms still apply.
  6. If we do not enforce a right immediately, we have not given it up.
  7. You may not transfer your rights under these terms without our written consent. We may transfer ours to a successor of the Verispect business, on notice to you.
